By accessing or using the LogisticsX platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services. We recommend that you print or save a copy of these Terms for your records.

Description of Service

LogisticsX provides a cloud-based fleet management platform for trucking companies, including but not limited to:

  • Real-time GPS tracking and dispatching
  • Load management and trip planning
  • Driver and employee management
  • Invoicing and payment processing
  • Payroll calculations and reporting
  • Document management and storage
  • Electronic logging device (ELD) integrations
  • Customer portal and communication tools

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

User Accounts

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or use
  • Ensuring all users under your account comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activities.

Subscriptions and Payments

Access to the Services requires a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your selected subscription plan
  • Provide valid payment information and keep it up to date
  • Automatic renewal of subscriptions unless cancelled before the renewal date
  • Non-refundable fees except as required by law or stated in our refund policy

Pricing is subject to change with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated tools to scrape, harvest, or extract data
  • Resell, sublicense, or redistribute the Services without authorization
  • Submit false, misleading, or fraudulent information
  • Engage in activities that could harm our reputation or business

Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and documentation, are owned by LogisticsX and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you upload to the Services. By using the Services, you grant us a limited license to use, store, and process your data solely to provide the Services to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGISTICS TMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

Indemnification

You agree to indemnify, defend, and hold harmless LogisticsX, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Any content you submit or transmit through the Services

Termination

You may terminate your account at any time by contacting us or using the account settings. We may terminate or suspend your access to the Services immediately, without prior notice, if:

  • You breach any provision of these Terms
  • You fail to pay any fees when due
  • We are required to do so by law
  • We discontinue the Services

Upon termination, your right to use the Services will cease immediately. You may request export of your data within 30 days of termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Harris County, Texas.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
